This IObit Mobile Affiliate Program Agreement (the "Agreement") is made and entered into by and between IObit Pty Ltd ("IObit" or "we"), and you, ("you" or "Affiliate") the party submitting at least an application, a website, or other digital distribution channel (Media) to become an IObit affiliate.

In order to participate in the Agreement it is compulsory to agree the following terms and conditions by checking the box and pressing the "Sign Up" button, meaning that you understand and accept all the terms of IObit Mobile Affiliate Program. The terms and conditions contained by this program may modify at any time by posting a modification note or a new program on IObit site. If any terms or modification cannot be accepted, the only way to act is not to press the "Sign Up" button or to cancel the participation in the IObit Mobile Affiliate Program. The participation in the Affiliate Program after its modification represents the implicit acceptance of the specified modifications.

Enrollment in the Affiliate Program

1.1 The IObit Mobile Affiliate Program is a special marketing program that facilitates the Affiliates to participate for promoting the IObit Mobile applications.

1.2 In order to join the IObit Mobile Affiliate Program, the Affiliate must agree as follows:

1.2.1 The Affiliate has sole responsibility for the development, operation, and maintenance of, and all content on or linked to, his Media. IObit declines any responsibility in connection with the use of any materials other than those provided by IObit.

Ensure that all materials posted on your Media or otherwise used in connection with the Affiliate Program (i) are not illegal, (ii) do not infringe upon the intellectual property or personal rights of IObit and (iii) do not contain or link to any material which is harmful, threatening, defamatory, obscene, sexually explicit, harassing, promotes violence, promotes discrimination (whether based on sex, religion, race, ethnicity, nationality, disability or age), promotes illegal activities (such as gambling), contains profanity or otherwise contains materials that IObit informs you that it considers objectionable (collectively, "Objectionable Content").

1.2.2 Only the links provided by IObit in the Affiliate account can be used for promoting IObit Mobile applications. The Affiliates are not allowed to use illegal techniques to change these links. The Affiliate trying to use such techniques shall be rejected from the IObit Mobile Affiliate Program and any of his commissions cancelled.

1.2.3 The Affiliate cannot make any official report or public comment in connection with this IObit Mobile Affiliate Program or with his participation to the IObit Mobile Affiliate Program, without prior written consent from IObit. The Affiliate can send an e-mail to mobilepartner@iobit.com in order to get a written consent.

1.2.4 IObit reserves the right to reject or cancel Affiliate-s for any/no reason. As an example, IObit shall reject or cancel the Affiliate account should it is established that the Affiliate site is not compatible with the IObit Mobile Affiliate Program or IObit Policy.

Commissions and Payment Methods

2.1 We will pay Affiliate Commission (up to 60%) for each Qualified Purchase based on the profit distribution predetermined. A "Qualified Purchase" means an individual person who purchased the items from IObit Mobile applications via the exclusive Affiliate Link, and the purchase tracking data to be shown on Affiliate account dashboard meanwhile can be checked from backend. Only the purchase verified from IObit can be considered as valid.

2.2 We will pay Affiliate any Commissions earned monthly, provided that the account is currently greater than 100$. Accounts with a balance of less than 100$ will roll over to the next month, and will continue to roll over monthly until 100$ is reached. We reserve the right to charge back to the account any previously paid Qualified Purchase that are later determined to have not met the requirements to be a Qualified Purchase.

2.3 We will pay the Commission to the Affiliate in 30 days from the end of the reporting period for which the commission is due, by bank transfer or any other means agreed. The invoice shall be generated by the Affiliate at beginning of each month.

2.4 The value of the Commission will be depending on the total net value of the sales sold without VAT or/and other taxes included.

2.5 The value of the Commission granted to the Affiliate is confidential, and the infringement of this obligation by the Affiliate may lead to compensations according to damage.

Final Provisions

3.1 By joining IObit Mobile Affiliate Program, you affirm and acknowledge that you have read this Agreement in its entirety and agree to be bound by all of its terms and conditions. If you do not wish to be bound by this Agreement, you should not join this Affiliate Program. If an individual is accessing this Agreement on behalf of a business entity, by doing so, such individual represents that they have the legal capacity and authority to bind such business entity to this Agreement.

3.2 IObit holds the legal right regarding to this Agreement and reserved the right of final explanation.

3.3 Any litigation between parties shall be solved amiably, and if this is not possible, the case will be forwarded to the authorized courts of law from Hong Kong. The law applicable to the present agreement is the Hong Kong law.
